Phew. We’ve reached the final instalment of our blog series and, somewhat fittingly, it deals with winding up. <\/p>\n\n\n\n
Currently, the AMT Board has sole discretion over asset distribution if AMT winds up. This concentrates a lot of power in the hands of a few Board members regarding one of the most important decisions the Association could face.<\/p>\n\n\n\n
It effectively excludes members from deciding what happens to the collective assets they have helped build through decades of contributions, membership fees, and volunteer effort.<\/p>\n\n\n\n
The proposed amendment shifts decision-making power from the Board to the membership. If AMT ever winds up, members would decide where AMT’s accumulated assets should go through a special resolution at a general meeting.<\/p>\n\n\n\n
This approach recognises that the Association’s assets represent the accumulated contributions of all members over time. <\/p>\n\n\n\n
The Board retains authority as a practical fallback if members cannot reach consensus, ensuring AMT can still fulfill its legal obligations. But the default becomes member decision-making rather than Board discretion.<\/p>\n\n\n\n
