When good Board members are hard to find …

The proposal to reduce the minimum number of Board directors to three is the recommendation we make with the heaviest heart. However, the practical realities of modern life and time poverty makes this change particularly critical to the long-term viability of AMT.

On the bright side, this change links directly to the proposal that we open up board positions to external directors with specific skills and expertise, which will also help us to ensure that the AMT Board is sustainable over time. (You can look forward to that post tomorrow!).

Reducing the minimum number of AMT Directors from five to three recognises that it can sometimes be challenging to find enough willing and capable members to fill a larger Board, and that the quality of directors matters more than quantity.

A three-person minimum means that AMT can continue operating effectively during challenging periods when member participation is low or when it is difficult to recruit suitable candidates. With the current five-person minimum, the Association risks being unable to meet quorum requirements or having to accept less suitable candidates just to fill positions. Three directors can still provide essential oversight on the critical governance functions of strategic leadership, finances, and administrative management. Additional directors can be added, with the maximum of nine directors still providing plenty of room for expansion.
