Why Board meeting rules belong in a Board Charter

The current AMT Constitution jumps between high-level governance principles (the Board manages the Association) and specific procedural details (24-hour notice requirements, email protocols, casting votes etc). This blurs the line between constitutional matters (who has authority and fundamental decision-making powers), and day-to-day operational procedures that belong in working documents (no more telephone conference lines with complex dial-in protocols and crappy reception. We can hear the collective groan of former directors and committee members even as we type!).

Board meeting protocols need to adapt with technological change and as AMT’s organisational needs evolve. As you have hopefully gathered over the past 18 days, constitutions are difficult to amend, requiring formal member votes. However, an AMT Board Charter can be updated by simple board resolution, allowing AMT to adapt quickly to new circumstances and technological innovations.

As a living document, the AMT Board Charter will be publicly available on the AMT website, pending the outcome of the vote at the General Meeting.
