21 resolutions in 21 days – Episode 19
Why we are simplifying subcommittee provisions
AMT has comprehensive Terms of Reference for all subcommittees that cover membership, functions, meeting procedures, and chair selection. But our current Constitution also includes provisions about subcommittees, essentially duplicating what’s already documented in working documents. This creates potential conflicts and confusion about which document takes precedence. When documents disagree with themselves, governance gets messy.
The proposed change eliminates unnecessary duplication, reduces administrative burden, and creates cleaner governance architecture. When everyone knows where to find the rules and there’s only one version, everything works more smoothly.
The Constitution maintains the fundamental principle that the Board has authority to create and manage subcommittees and the Terms of Reference can be updated as needs change without complex constitutional amendments.
